Terms of Service

These Terms of Service govern the relationship between Prime Digital Labs (the "Agency") and clients who engage our services. By signing a project proposal, a service agreement, or by submitting an enquiry and proceeding to an engagement, you agree to these terms.

2. Scope of services

The specific services, deliverables, timeline, and price for each engagement are defined in a written project proposal or service agreement (the "Project Agreement"). These Terms apply alongside and supplement every Project Agreement.

3. Project proposals and acceptance

3.1 A project proposal is valid for 30 days from the date of issue unless otherwise stated. 3.2 Acceptance of a proposal constitutes the client's agreement to the scope, price, timeline, and these Terms of Service. 3.3 Work begins on receipt of the agreed deposit (see Section 6).

4. Deliverables and intellectual property

4.1 Upon receipt of full payment, all intellectual property rights in the custom deliverables created specifically for the client (code, designs, documentation) transfer to the client. 4.2 Prime Digital Labs retains ownership of pre-existing intellectual property. Where pre-existing IP is incorporated in deliverables, the client receives a perpetual, irrevocable, royalty-free licence to use it as part of the delivered system. 4.3 Third-party open-source libraries are subject to their respective licences (typically MIT, Apache 2.0, or similar). A list of third-party dependencies is provided at handover.

5. Client responsibilities

5.1 The client agrees to provide timely access to required information, systems, and personnel. 5.2 The client is responsible for reviewing and approving deliverables within the review periods specified. Delays caused by the client's failure to review in time may affect the project timeline and cost. 5.3 The client warrants that any materials provided do not infringe any third-party rights and comply with applicable law.

6. Payment terms

6.1 Standard payment milestones: 30% on signing before work begins · 30% at build midpoint · 30% on production deployment · 10% retained for 30 days as stabilisation holdback. 6.2 Invoices are due within 15 days of issue. Late payments accrue interest at the French statutory late-payment rate (ECB reference rate + 10 percentage points, per Article L. 441-10 of the French Commercial Code), plus a fixed recovery indemnity of €40 per invoice. 6.3 All prices are in euros (EUR), exclusive of VAT. 6.4 Prime Digital Labs reserves the right to pause work where an invoice remains unpaid beyond 30 days.

7. Scope changes

7.1 Any change to the agreed scope must be requested in writing. 7.2 Prime Digital Labs will issue a change request document stating the impact on cost and timeline. The client must provide written approval before additional work begins. 7.3 Verbal instructions to change scope are not binding.

8. Confidentiality

8.1 Both parties agree to keep confidential any proprietary or commercially sensitive information shared during the engagement. 8.2 Where either party requires a formal NDA, this can be arranged before or at the commencement of an engagement. Contact support@primedigitallabs.com. 8.3 Prime Digital Labs may reference the project as a portfolio item (in anonymised form) unless the client requests otherwise in writing.

9. Warranties and limitations

9.1 Prime Digital Labs warrants that services will be performed with reasonable skill and care. 9.2 Prime Digital Labs does not warrant that deliverables will be error-free or uninterrupted. Defects identified within the 30-day stabilisation window are corrected at no additional charge. 9.3 Prime Digital Labs's total liability is limited to the total fees paid by the client under that Project Agreement. 9.4 Prime Digital Labs is not liable for indirect, consequential, or special damages, except in cases of gross negligence or wilful misconduct.

10. Data processing

Where Prime Digital Labs processes personal data on behalf of the client in the course of providing services, it acts as a data processor. A Data Processing Agreement (DPA) will be provided on request. EU data residency and GDPR compliance are standard design requirements.

11. Termination

11.1 Either party may terminate a Project Agreement by written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days. 11.2 The client may terminate for convenience by written notice. Fees due for work completed to date plus reasonable demobilisation costs are payable. The deposit is non-refundable. 11.3 On termination, Prime Digital Labs will deliver all completed deliverables and work in progress, against payment of amounts due.

12. Governing law and disputes

12.1 These Terms and all Project Agreements are governed by French law. 12.2 In the event of a dispute, the parties will first attempt to resolve it amicably. If no resolution is reached within 30 days, disputes will be referred to the competent courts of Nîmes, France.

13. Modifications

Prime Digital Labs may update these Terms from time to time. The version in force at the date a Project Agreement is signed governs that Agreement.
